Board of Directors
IAAPA is governed by a board of directors that establishes the strategic priorities of the association. Each director has a fiduciary duty to be loyal to the association, act in its best interests, avoid conflicts of interest, maintain the confidentiality of association information, and avoid utilizing the office for personal gain.
The Association strives to achieve a balance of geography, facility size, and industry segments on the board. The 25 directors include: six officers (chair, first vice chair, second vice chair, treasurer, immediate past chair, and the IAAPA president and CEO); nine at-large facility or lifetime and honorary members; four regional advisory committee chair directors (Asia Pacific, Europe/Middle East/Africa, Latin America/Caribbean, North America); two manufacturer/supplier/consultant directors; one manufacturer/supplier/consultant committee chair director; and three past chair directors from the advisory board. The president and CEO is a non-voting member of the board.
The IAAPA Governance Committee recruits the new second vice chair, treasurer, and board members and recommends the slate of candidates to the board of directors for annual election. The committee also assesses the board’s current composition and identifies knowledge gaps; employs a recruitment plan; and continuously cultivates new board prospects.
Board terms are typically three years and board members are usually required to travel three times per year to board meetings. In-person board meetings take place in March/April, September, and November. Board members are reimbursed for travel to/from board meetings.
